This Web Site is provided by LABePEDIA™ and available only to entities and persons who have reached the age of legal majority and are competent to enter into legally binding agreement(s) under the applicable law. If You do not qualify, You are not permitted to use the Web Site.

The following information demonstrates terms and conditions of use (here-in-after referred to as an "General Agreement"), applicable to your use of www.labepedia.com  / related mobile applications (hereinafter referred to as "web site"), which promotes business / trade between manufacturers, suppliers and buyers of laboratory equipment and supplies internationally. It is a General Agreement between you as the user(s) of the web site (the "User(s)") and LABePEDIA™  - Global Business Promoters, (hereinafter referred to as” LABePEDIA”, "LABePEDIA-GBP", We, Us).

Before you subscribe to and/or begin participating in or using this web site / related mobile applications, LABePEDIA-GBP believes that user(s) have fully read, understood and accept the General Agreement. If you do not agree to or wish to be bound by the General Agreement, you may not access or otherwise use this web site / related mobile applications. 

I. Change in the General Agreement

We may periodically change, modify, amend, or update the Terms & Conditions of Use and the WebSite without notice, and you are responsible for checking these Terms periodically for revisions. All amended Terms become effective upon our posting to the Site, and any use of the site after such revisions have been posted signifies your consent to the changes.

II. Role of this WEBSITE / MOBILE APPLICATIONS
This Web site / mobile applications’ role is just to provide a venue/platform for our registered members (free or paid) to negotiate / interact for buying, selling and other business services by way of searching / locating companies to trade with, through our on-line exchange. 

We aren't liable for any damages or losses related to your use of this website. We don’t become involved in deals, contracts, agreements, disputes between users, or between users and any third party relating to the use of this website and its services. We don’t oversee the execution of any sales contracts or business deals between the users, and we don’t endorse any content that the users submit to the Site. When you use the website and its services, you release LABePEDIA from claims, damages, and demands of every kind — known or unknown, suspected or unsuspected, disclosed or undisclosed — arising out of or in any way related to such disputes and the Services. All content you access through the Services is at your own risk. You’re solely responsible for any resulting damage or loss to any party.

III. Eligibility of User(s)
The Web Site and their contents are not targeted to minors (those under the age of 18) and we do not intend to sell any of our products or services to minors. User(s) means any individual or business entity / organization that legally operates in India or in other countries, uses and has the right to use the services provided by LABePEDIA-GBP. 

IV. Creating an Account

To sign up for a LABePEDIA account, you need to be 18 or over. You’re responsible for your account and all the activity on it. You can browse some sections of this website without registering for an account. But to use some of the functions, you’ll need to register, choose an account name, and set a password. When you do that, the information you give us has to be accurate and complete. Don’t impersonate anyone else or choose names that are offensive or that violate anyone’s rights. If you don’t follow these rules, we may cancel your account.

If you register on behalf of a business entity, you must represent that business entity and (a) you must have the authority to bind the entity to terms and condition of use and/or this General Agreement; (b) the address you use when registering is the principal place of business of such business entity; and (c) all other information submitted to LABEPEDIA-GBP during the registration process is true, accurate, current and complete. For purposes of this provision, a branch or representative office will not be considered a separate entity and its principal place of business will be deemed to be that of its head office. 

By becoming a Registered User, you consent to the inclusion of your personal data in our on-line database and authorize LABEPEDIA-GBP to share such information with other user(s). LABEPEDIA-GBP may refuse registration and deny the membership and associated User ID and Password to any user for whatever reason. Web site may suspend or terminate a Registered membership at any time without any prior notification in interest of LABEPEDIA-GBP or general interest of its visitors/other members without giving any reason thereof. Registered User are not a part or affiliate of LABEPEDIA-GBP in any way. 

Despite your and your organization's contact number(s) being on Do Not Call Registry, you consent to be contacted by LABePEDIA  (Global Business Promoters) through phone calls, SMS notifications / chat messengers / emails or any other means of communication, in respect to the services provided by LABEPEDIA-GBP. 

You’re responsible for all the activity on your account, and for keeping your password confidential. If you find out that someone’s used your account without your permission, you should report it to us through our Contact Us page.

V. Your Intellectual Property Rights

LABePEDIA doesn’t own the content (text, images, photos, videos, sound, product designs, layouts, product specifications) that you submit to us (“your Content”).  But we do need certain licenses from you in order to perform our Services.

When you submit any content to this website you agree to these terms:

We can use the content you’ve submitted. VIII. Suspension / Termination of your account / membership
You agree that LABePEDIA, at its sole discretion, may terminate or suspend Your use of the Web Site / related mobile applications, Information, Services and Content at any time and for any or no reason at its sole discretion, even if access and use continue to be allowed to others. This termination / suspension may apply to any section / part / application of the web site or the complete website. Upon such suspension or termination, You must immediately (a) discontinue Your use of the Web Site, and (b) destroy any copies You may have made of any portion of the Content. Accessing the Web Site / related mobile applications after such termination, suspension or discontinuation shall constitute an act of trespass. LABEPEDIA-GBP withholds the right to temporary or permanent termination of membership of any user for any of the following reasons: 

(a) If the user(s) have provided any incorrect / false information in connection with the member account

(b) If the user(s) create multiple accounts with different email ids.

(c)  If the user(s) are engaged in fraudulent or illegal activities. 

(d) The user(s) breach any provisions of the terms and conditions of use General Agreement and/or General Agreement of web site.

(e) Utilize web site to send spam messages or repeatedly publish the same product information. 

(f) Post any material to members that is not related to international trade or business cooperation.

(g) Impersonate or unlawfully use another companies name to post information or conduct business of any form 

(h) Any unauthorized access, use, modification, or control of the web site data base, network or related services. 

(i) Obtain / use user name and/or password of other web site members. 

If LABEPEDIA-GBP terminates user(s) membership, user(s) will not have the right to re-enroll or join LABEPEDIA-GBP under a new account or name unless formally invited to do so by LABEPEDIA-GBP. In any case of termination, no membership charges will be refunded. User(s) acknowledge that inability to use the web site wholly or partially for whatever reason may have adverse effect on its business. User(s) hereby agree that in no event shall the web site be liable to the user(s) or any third parties for any inability to use the web site (whether due to disruption, limited access, changes to or termination of any features on the web site or otherwise), any delays, errors or omissions with respect to any communication or transmission, or any damage (direct, indirect, consequential or otherwise) arising from the use of or inability to use the web site or any of its features. 

IX. Removal of Illegal / unlawful / unrelated / unethical content

LABePEDIA reserves the right to remove / delete / omit any Illegal / unlawful / unrelated / unethical content from the website.

According to LABePEDIA, content may be deemed Illegal / unlawful / unrelated / unethical if

1. It contains fraudulent information or make fraudulent offers of items or involve the sale or attempted sale of counterfeit or stolen items or items whose sales and/or marketing is prohibited by applicable law, or otherwise promote other illegal activities;
2. It is part of a scheme to defraud other User(s) of the web site or for any other unlawful purpose;
3. It relates to sale of products or services that infringe or otherwise abet or encourage the infringement or violation of any third party's copyright, patent, trademarks, trade secret or other proprietary right or rights of publicity or privacy, or any other Third Party Rights;
4. It violates any applicable law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);

11. It links directly or indirectly to or include descriptions of goods or services that are prohibited under the prevailing law; or
12. It Otherwise creates any liability for LABEPEDIA-GBP or its affiliates.

Except as explicitly stated otherwise, all notices to the Company shall be given by the User by postal mail to Global Business Promoters, 5446 Plot # 9, UGF, Basti Harphool Singh, Sadar Thana Road, Delhi - 110006, India (in the case of the Company) or to the email address the User provided during the registration process (in case of the User). 

XIII. Prohibited / Restricted / Banned Product/Service Policies 

LABePEDIA.com is a platform that does not facilitate the sale / purchase of Prohibited / Restricted / Banned products. Please do not promote any Prohibited / Restricted / Banned product on this website. The Buyers and Suppliers assure LABePEDIA and hereby agree to abide by and be compliant of all the related laws, rules, regulations, notifications or orders issued by the Government of India or any of its Agencies from time to time. LABePEDIA shall not be responsible for any information/content related to the Prohibited / Restricted / Banned products, posted/provided/displayed by the listed Suppliers on our website –www.labepedia.com, as we are only a medium of advertisement for the Buyers and Suppliers. In the event of breach of such condition, LABePEDIA shall not be liable and responsible in any manner whatsoever, as LABePEDIA does not take part in the actual transaction that takes place between the Buyers and Suppliers. User(s) of the website –www.labepedia.com undertake and agree to INDEMNIFY and hold harmless LABePEDIA or any of its affiliates, directors, officers, employees or representatives from and against any/all losses, liabilities, damages, claims, costs and expenses (including attorney’s fees and expenses, any third party claims), which LABePEDIA may incur or suffer as a result of or in connection with any illegal sales Prohibited / Restricted / Banned products.

XIV. Governing Law
Terms and condition of use General Agreement and/ or General Agreement, Privacy Policy shall be governed in all respect by the laws of Indian Territory. LABEPEDIA-GBP considers itself and intended to be subject to the jurisdiction only of the Courts of New Delhi, India. The parties to this General Agreement hereby submit to the exclusive jurisdiction of the courts of New Delhi, India.
